{"id":220578,"date":"2023-12-29T09:45:57","date_gmt":"2023-12-29T04:15:57","guid":{"rendered":"https:\/\/dripp.zone\/news\/?p=220578"},"modified":"2023-12-29T09:45:57","modified_gmt":"2023-12-29T04:15:57","slug":"terra-wins-one-summary-judgment-in-sec-case-but-sold-unregistered-securities-crypto-news","status":"publish","type":"post","link":"https:\/\/dripp.zone\/news\/terra-wins-one-summary-judgment-in-sec-case-but-sold-unregistered-securities-crypto-news\/","title":{"rendered":"Terra wins one summary judgment in SEC case, but sold unregistered securities &#8211; Crypto News"},"content":{"rendered":"<div data-mash-reactions=\"enabled\">\n<p><a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/cryptoslate.com\/companies\/terraform-labs\/\">Terraform Labs<\/a> obtained a partial victory on <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/storage.courtlistener.com\/recap\/gov.uscourts.nysd.594150\/gov.uscourts.nysd.594150.149.0.pdf\">Dec. 28<\/a> within a case initiated by the U.S. Securities and Exchange Commission (SEC).<\/p>\n<p>Judge Jed Rakoff issued one summary judgment in Terraform Labs\u2019 favor and declared that the firm did not offer and effect transactions in security-based swaps.<\/p>\n<p>The judge said that mAssets offered on the Terra-based Mirror Protocol satisfied most but not all of the requirements of security-based swaps. Specifically, he said that these involve no transfer of financial risk due to mAsset\u2019s collateralization model: because users must add new collateral as prices increase, they bear risk themselves and not from future changes, invalidating the SEC\u2019s complaint.<\/p>\n<p>Judge Rakoff nevertheless issued another summary judgment that largely validated the SEC\u2019s broader allegations around securities. He ruled that there is \u201cno genuine dispute\u201d that various assets including Terraform\u2019s UST, LUNA, wLUNA, and MIR tokens are investment contracts and therefore securities. Furthermore, he ruled that these sales were unregistered and in violation of the Securities Act.<\/p>\n<p>The judge noted that the SEC\u2019s request for summary judgment did not mention any possible financial remedies. He said that this will be determined after liability is established through another summary judgment.<\/p>\n<h2>Fraud claims will be settled in trial<\/h2>\n<p>Separate from the above rulings, the judge said that fraud claims must be resolved at trial as these issues concern \u201cgenuine disputes of material fact.\u201d<\/p>\n<p>The SEC\u2019s frauds claims concern two matters. The first concerns a past depeg of Terra\u2019s UST stablecoin. The SEC alleges that Terraform Labs co-founder <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/cryptoslate.com\/people\/do-kwon\/\">Do Kwon<\/a> reached a deal with <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/cryptoslate.com\/companies\/jump-crypto\/\">Jump Crypto<\/a> to help UST recover its price peg, even as Kwon publicly claimed that Terra\u2019s algorithm had solely caused the recovery.<\/p>\n<p>The second matter concerns whether Chai Corp., a South Korean payments company founded by Terraform Labs co-founder Daniel Shin, actually used the Terra blockchain as advertised.
