The court also dismissed charges related to Binance\u2019s Simple Earn product.<\/p>\n<p>\u201cIn the court\u2019s view, then, the SEC\u2019s suggestion that the token is \u2018the embodiment of the investment contract\u2019 as opposed to the subject of the investment contract, muddied the issues before the Court,\u201d Bearman<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.courtlistener.com\/docket\/67474542\/248\/securities-and-exchange-commission-v-binance-holdings-limited\/\"> said<\/a>. \u201cNo one should read this case as deciding that crypto assets themselves are or are not \u2018securities\u2019, that is not the question presented.\u201d<\/p>\n<p>Further, the judge cited an October 2023<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/markets\/markets-rally-after-u-s-judge-says-ripple-is-not-a-security\"> ruling<\/a> concerning Ripple\u2019s XRP that found digital tokens do not in and of themselves comprise securities investment contracts, regardless of whether a token\u2019s primary distribution occurred via a securities investment contract. Jackson added that the SEC\u2019s position was inconsistent with Supreme Court rules.<\/p>\n<p>&#8220;The Court notes that several of the district courts presented with SEC enforcement actions involving cryptocurrencies have taken pains to differentiate the alleged investment contracts from the tokens themselves,&#8221; Judge Jackson continued. \u201cThe Court finds these observations to be clarifying and persuasive [and] will endorse and follow the approach taken by the thoughtful judges who boldly wrestled with crypto assets before this case was filed.\u201d<\/p>\n<p>However, the court allowed the majority of the SEC\u2019s charges against Binance to proceed, including charges that Binance\u2019s initial coin offering for Binance Coin (BNB), ongoing sales of BNB, staking services, and BNB Vault products constituted the unlicensed offer and sale of securities.<\/p>\n<p>Binance will also face charges alleging it failed to restrict U.S. investors from accessing the platform, failed to register as an exchange, broker, or clearing agency, and that Binance.US misled customers concerning the existence and adequacy of market surveillance controls.<\/p>\n<p>The <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/prices\/binancecoin\">price of BNB<\/a> is up 1% over the past 24 hours, according to The Defiant&#8217;s <a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/prices\">crypto price feeds<\/a>.<\/p>\n<h2>Crypto notches win over SEC<\/h2>\n<p>Judge Jackson\u2019s move to dismiss charges concerning the secondary sales of BNB serves as a major blow in the SEC\u2019s efforts to classify digital assets as securities, with the regulator frequently attempting to classify the secondary sales of cryptocurrencies as the unregistered sale of securities investment contracts.<\/p>\n<p>\u201cThe ruling dismissing the SEC&#8217;s claims involving secondary market sales by third parties is clearly a win for the greater crypto industry,\u201d<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/x.com\/MetaLawMan\/status\/1807075663666434311\"> said<\/a> James Murphy, a crypto-focused attorney.<\/p>\n<p>Gabriel Shapiro, general counsel at Delphi Labs highlighted the significance of Jackson citing Judge Torres\u2019 rulings concerning Ripple as precedent informing her decision.<\/p>\n<p>In October, Torres ruled that \u201cXRP, as a digital token, is not in and of itself a &#8216;contract, transaction or scheme&#8217; that embodies the Howey requirements of an investment contract,\u201d The Howey Test is a legal framework used to determine whether an investment offering qualifies as a security.<\/p>\n<p>\u201cIt&#8217;s a massive validation of Torres&#8217; Ripple approach of applying Howey transaction-by-transaction rather than accepting the SEC\u2019s vague and ever-mutable arguments,\u201d Shapiro<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/x.com\/lex_node\/status\/1806960495007551919\"> tweeted<\/a>. \u201cThe judge specifically says it&#8217;s possible some secondary market transactions can be covered under Howey, but the SEC will have to really plead with particularity.&#8221;<\/p>\n<p>The<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/markets\/crypto-markets-dive-after-sec-sues-binance\"> SEC sued Binance<\/a> in June 2023 for alleged securities law violations.<\/p>\n<p>The action followed the Commodity Futures Trading Commission (CFTC)<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/markets\/market-shrugs-off-cftc-lawsuit-against-binance\"> suing<\/a> Binance for operating an illegal digital asset derivatives exchange in March 2023. The U.S. Department of Justice (DoJ) also<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/www.reuters.com\/markets\/us\/us-justice-dept-is-split-over-charging-binance-crypto-world-falters-sources-2022-12-12\/\"> reportedly<\/a> began investigating Binance alongside its co-founder and former CEO, Changpeng Zhou, over money laundering, sanctions, and unlicensed money transmission violations in 2018.<\/p>\n<p>Binance agreed to pay a<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/defi\/aave-labs-issued-12-month-grant-to-develop-v4-iteration\"> $4.3 billion settlement<\/a> with the DoJ in November, which also concluded the enforcement action from the CFTC. Changpeng Zhou similarly pleaded guilty in November and agreed to step down, and was<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/cefi\/binance-founder-changpeng-zhao-gets-4-month-prison-sentence\"> sentenced<\/a> to four months in prison on April 30.<\/p>\n<h2>Vitalik slams U.S. regulatory landscape<\/h2>\n<p>The news comes after the SEC has attracted sustained criticism for waging a campaign of retroactive regulation-by-enforcement targeting the crypto industry since Gary Gensler\u2019s appointment to chair the agency in 2021.<\/p>\n<p>The situation culminated in<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/cefi\/coinbase-sues-sec\"> Coinbase suing the SEC<\/a> in April 2023 for failing to adhere to its formal rulemaking process regarding cryptocurrency. Consensys, the blockchain software development firm behind MetaMask, also<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/regulation\/consensys-sues-sec-in-bid-to-defend-ethereum\"> sued the SEC<\/a> in a bid to secure a court order that ETH is not a security in April.<\/p>\n<p>On May 29, Vitalik Buterin, Ethereum\u2019s chief scientist, took to Warpcast, a decentralized social media platform powered by<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/nfts-and-web3\/how-many-users-does-farcaster-actually-have\"> Farcaster<\/a>, to<a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/warpcast.com\/vitalik.eth\/0xda1c0058\"> voice<\/a> his frustration with the U.S. regulatory climate.<\/p>\n<p>&#8220;The main challenge with crypto regulation (especially in the U.S.) has always been this phenomenon where if you do something useless, or something where you\u2019re asking people to give you money in exchange for vague references to potential returns at best, you are free and clear,&#8221; Buterin said. \u201cBut if you try to give your customers a clear story of where returns come from, and promises about what rights they have, then you&#8217;re screwed because you&#8217;re \u2018a security\u2019.\u201d<\/p>\n<p><a rel=\"nofollow noopener\" target=\"_blank\" href=\"https:\/\/thedefiant.io\/news\/regulation\/sec-targets-ethereum-liquid-staking\"><strong><em>Related: SEC Targets Ethereum Liquid Staking<\/em><\/strong><\/a><\/p>\n<\/div>\n","protected":false},"excerpt":{"rendered":"<p>Legal experts describe the ruling as a significant victory over the SEC for the web3 sector.
